Terms of Service

These Website Terms of Service (“Terms”) govern your access to and use of the Arborist Intelligence, LLC website located at www.arborist-intelligence.com (the “Site”), including any client portal or account dashboard made available through the Site. By visiting the Site, creating an account, enrolling in services online or by phone, or otherwise using any feature of the Site, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Site. These Terms apply in addition to any Lead Generation Services Agreement (“Service Agreement”) you execute with Company, which governs the commercial terms of your lead generation services.

Arborist Intelligence, LLC (“Company,” “we,” “us,” or “our”) is a Dallas, Texas limited liability company providing lead generation services to arborists and tree-care businesses throughout the United States. Questions about these Terms may be directed to legal@arborist-intelligence.com.

The Site and our services are intended for use by licensed arborist and tree-care businesses operating lawfully in their respective jurisdictions. By using the Site, you represent and warrant that:

• You are at least 18 years of age;
• You are authorized to act on behalf of the business you represent;
• Your business holds all licenses and permits required to operate in its service area; and
• Your use of the Site complies with all applicable laws and regulations.

Company reserves the right to refuse service to anyone for any lawful reason.

Through the Site and client portal, you may:

• Enroll in Company’s lead generation services;
• Designate and manage your geographic service area;
• View lead activity, billing history, and invoices;
• Update account and payment information; and
• Contact Company support.

The full terms governing lead generation services, billing, cancellation, and disputes are set forth in your Service Agreement, which is incorporated by reference. In the event of a conflict between these Terms and your Service Agreement, the Service Agreement controls with respect to commercial service terms.

You may enroll in Company’s services by completing the online enrollment form on the Site or by calling Company directly. Enrollment by phone constitutes acceptance of Company’s then-current Service Agreement and these Terms, which will be provided to you electronically following your call. Continued use of Company’s services after receipt of those documents constitutes your agreement to their terms.

Payment for lead generation services is processed through Stripe, Inc. By enrolling, you authorize Company to charge your payment method on file through Stripe in accordance with your Service Agreement. All billing terms, including billing cadence, payment due dates, and any fees that apply if you cancel without required notice, are governed by your Service Agreement.

All content on the Site, including text, graphics, logos, software, platform features, and the client portal, is owned by or licensed to Arborist Intelligence, LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without Company’s prior written consent.

Nothing on the Site grants you any ownership interest in Company’s tracking systems, mailing lists, QR code infrastructure, or lead generation platform.

You agree not to use the Site or client portal to:

• Violate any applicable law or regulation;
• Submit false, misleading, or fraudulent information;
• Attempt to gain unauthorized access to any Company system, account, or data;
• Interfere with or disrupt the operation of the Site or platform;
• Scrape, harvest, or systematically extract data from the Site;
• Reverse-engineer, decompile, or attempt to derive the source code of any Company software;
• Use the Site for any purpose other than your own lawful business use; or
• Engage in any conduct that could damage Company’s reputation or systems.

The Site may contain links to third-party websites or integrate with third-party services such as Stripe. Company does not control and is not responsible for the content, privacy practices, or reliability of any third-party services. Your use of third-party services is governed by their respective terms and policies.

THE SITE AND ALL CONTENT THEREIN ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SITE WILL BE AVAILABLE, ERROR-FREE, OR SECURE AT ALL TIMES.

TO THE FULLEST EXTENT PERMITTED BY LAW, ARBORIST INTELLIGENCE, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR CLIENT PORTAL. COMPANY’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Arborist Intelligence, LLC and its officers, members, employees, and agents from and against any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Site, your violation of these Terms, or your violation of any applicable law.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration conducted in Dallas, Texas.

Fees and Costs. Each party shall bear its own attorneys’ fees and costs incurred in connection with any arbitration proceeding. AAA administrative fees and arbitrator compensation shall be allocated in accordance with the then-current AAA Commercial Arbitration Rules, subject to the arbitrator’s authority to reallocate fees and costs as part of a final award to the extent permitted by applicable law.

Class Action Waiver. You waive any right to a jury trial and any right to participate in a class action, collective action, or representative proceeding of any kind. All claims must be brought in your individual capacity only.

Injunctive Relief. Notwithstanding the foregoing, Company may seek emergency or preliminary injunctive relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or systems, without waiving its right to compel arbitration of the underlying dispute.

Company reserves the right to update these Terms at any time. When changes are made, we will post the revised Terms on the Site with an updated effective date. Your continued use of the Site following any update constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Site.

Company may suspend or terminate your access to the Site or client portal at any time, for any lawful reason, with or without notice. Upon termination, all rights granted to you under these Terms cease immediately. Sections 8 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Governing Law) survive termination.
